1. Acceptance of Terms

By creating an account, registering for a trial, or using the services provided by WMSBIZ (including the website wmsbiz.cloud and the platform app app.wmsbiz.cloud), you agree to be bound by these Terms of Service.

These terms constitute a legally binding agreement between you and Suffolk IT Services trading as WMSBIZ("we", "us", or "our"). If you do not agree to these terms, you must not use or access WMSBIZ services.

2. Accounts and Trial Periods

To access WMSBIZ ERP, you must create a company account. You agree to:

• Provide accurate, current, and complete registration information.
• Keep your account password secure and accept all responsibility for actions taken under your account credentials.
• Notify us immediately of any security breach or unauthorized access.

We offer a trial period for new subscribers. This trial is intended to allow you to evaluate our services. At the end of the trial period, access to the ERP service will be restricted unless a paid subscription tier is configured.

3. Billing, Subscriptions, and Cancellation

If you opt for a paid subscription tier:

• Pricing and Currency: All prices are billed in British Pounds (GBP) and are subject to VAT where applicable. Subscriptions are billed in advance on a recurring monthly or annual schedule.
• Payment Processing: We utilize Stripe to handle all subscription billing. By configuring a payment method, you authorize us to charge subscription fees via Stripe automatically on each billing cycle.
• Failed Payments: If a recurring payment fails, Stripe will retry. If payment remains outstanding, we reserve the right to suspend or terminate access to your WMSBIZ account.
• Cancellations: You can cancel your subscription at any time via your Billing Settings portal. Cancellations will apply at the end of your current billing period, and no refunds will be provided for partial months.

4. Acceptable Use Policy

You agree not to use the WMSBIZ ERP system for any unlawful or unauthorized activity. You must not:

• Reverse engineer, disassemble, or modify any code of the WMSBIZ platform.
• Inject malware, execute denial-of-service (DoS) attacks, or disrupt the operation of our cloud database servers.
• Access other users' company records or exploit security vulnerabilities.
• Use the platform to store or distribute copyrighted or illegal material.

5. Intellectual Property and Data Ownership

Our intellectual property rules are simple and fair:

• WMSBIZ Platform: All software code, UI designs, brand marks, and features of the WMSBIZ ERP remain the exclusive intellectual property of Suffolk IT Services.
• Your Data: All business data you input (inventory, client lists, invoices) remains entirely your property. We claim no ownership over your database records. You grant us a limited license to host and backup this data solely to provide the ERP services.

6. Limitation of Liability and Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

To the maximum extent permitted by UK law, Suffolk IT Services t/a WMSBIZ shall not be liable for any indirect, incidental, special, or consequential damages (including loss of business profits, data corruption, or warehouse operational downtime) arising from the use or inability to use our ERP platform, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

7. Termination

We reserve the right to suspend or terminate your account at our discretion, without prior notice, if we believe you have breached these Terms of Service or engaged in fraudulent or abusive behavior. Upon termination, your right to access the ERP platform will cease immediately, and we will initiate the deletion of your account data in accordance with our data retention policy.

8. Governing Law and Jurisdiction

These Terms of Service and any dispute arising from them shall be governed by and construed in accordance with the laws of England & Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute.

9. Changes to Terms

We may revise these Terms of Service from time to time. The most current version will always be posted on this page. If a revision is material, we will notify registered users via email. By continuing to access the service after changes become active, you agree to be bound by the revised terms.
